1. Agreement to terms

These Terms of Use (“Terms”) govern your access to and use of rjreliance.com (the “Site”), operated by RJ Reliance (“RJR,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to your use of the Site only. Engagement-specific terms governing consulting, implementation, managed services, or other professional services are set forth in separate signed agreements (Master Services Agreements, Statements of Work, or equivalent) and are not addressed here.

2. Use of the site

You may use the Site for lawful purposes consistent with these Terms. You agree not to:

• Use the Site in any manner that violates applicable law or regulation
• Attempt to gain unauthorized access to the Site, its servers, or any related systems
• Interfere with or disrupt the operation of the Site
• Use automated tools to scrape, harvest, or collect content or information from the Site without our prior written consent
• Reverse engineer, decompile, or disassemble any portion of the Site
• Use the Site to transmit viruses, malware, or other harmful code
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

3. Intellectual property

All content on the Site (including text, graphics, logos, images, case studies, FAQs, and software) is the property of RJ Reliance or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may view and download content from the Site for personal, non-commercial reference. Any other use, including reproduction, distribution, modification, or commercial use, requires our prior written permission.

The “RJ Reliance” name and logo are trademarks of RJ Reliance. All third-party names, logos, product names, and marks are the property of their respective owners.

You acknowledge that unauthorized use of our intellectual property may cause irreparable harm, and we may seek injunctive or equitable relief in addition to any other remedies available at law.

4. No professional advice or commitment

Content on the Site is provided for general informational purposes only. It is not legal, tax, accounting, or other professional advice, and should not be relied on as such. RJR’s professional services are provided under separate signed agreements. Nothing on the Site creates a client relationship.

Site content does not constitute an offer, commitment, representation, warranty, or guarantee regarding any particular service, outcome, implementation, integration, or business result.

Information about HCM platforms, vendors, regulatory frameworks, and operational practices reflects our experience and viewpoint as of the date posted. Regulatory frameworks evolve. Vendor capabilities change. Specific client situations vary. Always consult qualified professionals before making decisions based on Site content.

We may update, modify, or remove Site content at any time without notice. We do not guarantee that Site content is complete, current, or error-free.

5. Third-party content and links

The Site may reference third-party platforms, vendors, or services (including but not limited to UKG, ADP, Boomi, Paylocity, NCR, Deel, Workday, and others). These references are descriptive of our practice and do not imply endorsement, sponsorship, or partnership unless explicitly stated. Where formal partnerships exist, they are identified as such.

The Site may contain links to third-party websites. We do not control these sites and are not responsible for their content, privacy practices, or availability.

6. Disclaimer of warranties

The Site and its content are provided “as is” and “as available” without warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the maximum extent permitted by law, RJ Reliance and its officers, directors, employees, contractors, representatives, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your access to or use of, or inability to access or use, the Site or Site content, even if advised of the possibility of such damages.

To the maximum extent permitted by law, RJ Reliance’s total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred dollars ($100). This limitation does not apply to services provided under a separate written agreement between you and RJ Reliance, which are governed by the terms of that agreement.

8. Indemnification

You agree to indemnify and hold harmless RJ Reliance, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site or violation of these Terms.

9. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

10. Changes to these terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of the Site after changes constitutes acceptance of the updated Terms.

11. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
